Please read these Terms of Use carefully before accessing or using any part of the Morivant platform. By creating an account, enrolling in a course, or otherwise using our services, you confirm that you have read, understood, and agree to be bound by these terms. If you do not agree, you must not use the platform.
1. Definitions
Throughout these Terms of Use, the following definitions apply:
- Platform refers to the Morivant website, applications, and all associated services available at morivant.com.
- User refers to any individual who accesses, browses, registers on, or uses the Platform in any capacity.
- Content refers to all text, video, audio, graphics, code, assessments, and any other material made available through the Platform.
- Course refers to any structured educational program, lesson series, or learning module offered through the Platform.
- Account refers to a registered user profile granting access to Platform features and enrolled courses.
2. Eligibility
The Platform is intended for users who are at least 16 years of age. By using the Platform, you represent that you meet this age requirement. If you are under the age of majority in your jurisdiction, you confirm that a parent or legal guardian has reviewed and consented to these Terms on your behalf.
We reserve the right to refuse access to any user at our sole discretion, including where we have reason to believe that eligibility requirements have not been met.
2. Account Registration and Security
2.1 Creating an Account
Access to certain features of the Platform requires registration. When creating an Account, you agree to provide accurate, current, and complete information and to keep that information up to date. You may not register using a false identity, impersonate another person, or create an account on behalf of someone else without their explicit authorisation.
2.2 Account Credentials
You are solely responsible for maintaining the confidentiality of your login credentials. You agree not to share your password with any third party. All activity conducted through your Account is your responsibility, whether or not you authorised it. You must notify us immediately at [email protected] if you suspect any unauthorised access to your Account.
2.3 Account Termination by User
You may close your Account at any time by contacting us through the details provided in these Terms. Closure does not automatically entitle you to a refund for any purchased content.
3. Permitted Use
Subject to these Terms, Morivant grants you a limited, personal, non-exclusive, non-transferable licence to access and use the Platform and its Content for your own educational purposes. This licence does not include any right to:
- Reproduce, distribute, publicly display, or create derivative works from any Content without prior written consent.
- Sell, sublicense, or commercially exploit any part of the Platform or Content.
- Use automated tools, bots, scrapers, or similar technologies to access or extract data from the Platform.
- Reverse engineer, decompile, or otherwise attempt to derive source code from any part of the Platform.
- Circumvent, disable, or interfere with any security-related features of the Platform.
4. Prohibited Conduct
When using the Platform, you agree not to:
- Post, transmit, or share any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
- Harass, intimidate, or discriminate against other users, instructors, or staff.
- Introduce malware, viruses, or any other harmful code into the Platform.
- Attempt to gain unauthorised access to any system, data, or account.
- Use the Platform for any fraudulent, deceptive, or misleading purpose.
- Violate any applicable law or regulation in connection with your use of the Platform.
- Facilitate or encourage any of the above conduct by others.
Violation of these prohibitions may result in immediate suspension or termination of your Account and may be referred to appropriate authorities where required.
5. Courses and Enrolment
5.1 Access to Courses
Upon successful enrolment and, where applicable, payment, you receive access to the enrolled Course for the duration specified at the time of purchase. Course access is granted to you personally and may not be transferred, shared, or resold.
5.2 Course Content
We reserve the right to update, modify, or remove course content at any time for reasons including accuracy improvements, curriculum updates, or legal compliance. Where material changes are made to a course you have already purchased, we will make reasonable efforts to notify you.
5.3 Completion and Certificates
Where certificates of completion are offered, they are issued solely on the basis of satisfying the Platform's stated completion criteria. Certificates issued by Morivant do not constitute formal academic qualifications unless explicitly stated and do not guarantee any professional outcome.
6. Payments and Refunds
6.1 Pricing
Prices for courses and other paid features are displayed in the currency applicable to your region at the time of purchase. All prices are inclusive of applicable taxes unless stated otherwise. We reserve the right to change pricing at any time, though changes will not affect purchases already completed.
6.2 Refund Policy
Refund eligibility is governed by the refund policy published on the Platform at the time of your purchase. Where a refund is granted, it will be processed to the original payment method within a reasonable timeframe. Refunds are not available for courses where a certificate has already been issued or where the majority of the content has been accessed.
6.3 Failed Payments
If a payment fails or is reversed, we reserve the right to suspend or restrict access to any content associated with that payment until the matter is resolved.
7. Intellectual Property
7.1 Platform Ownership
All Content, trademarks, trade names, logos, and other intellectual property on the Platform are owned by or licensed to Morivant. Nothing in these Terms transfers any intellectual property rights to you.
7.2 User Submissions
If you submit any content to the Platform, including forum posts, comments, or assignments, you grant Morivant a non-exclusive, worldwide, royalty-free licence to use, display, and reproduce that content in connection with the operation of the Platform. You represent that you own or have the necessary rights to grant this licence.
7.3 Feedback
Any feedback, suggestions, or ideas you provide regarding the Platform may be used by Morivant without obligation or compensation to you.
8. Third-Party Services and Links
The Platform may contain links to third-party websites or integrate third-party tools and services. These are provided for convenience only. Morivant does not endorse, control, or take responsibility for the content, privacy practices, or terms of any third-party service. Your use of third-party services is governed by their respective terms and policies.
9. Disclaimers
The Platform and all Content are provided on an as is and as available basis without warranties of any kind, whether express or implied. Morivant does not warrant that:
- The Platform will be uninterrupted, error-free, or free of harmful components.
- Any Content is accurate, complete, or suitable for any particular purpose.
- Results obtained from using the Platform will meet your expectations.
You use the Platform at your own risk. Educational content is provided for informational purposes only and does not constitute professional advice.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Morivant and its directors, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Platform or its Content, even if advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total amount paid by you to Morivant in the twelve months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Morivant and its officers, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.
12. Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.
13. Modifications to the Terms
We may update these Terms of Use from time to time. When we do, the revised version will be posted on this page with an updated date. If changes are material, we will make reasonable efforts to notify registered users. Your continued use of the Platform after any changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.
14. Suspension and Termination
We reserve the right to suspend or terminate your Account and access to the Platform at our discretion, with or without notice, if we believe you have violated these Terms or engaged in conduct that is harmful to other users, third parties, or Morivant. Upon termination, your licence to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will continue to apply.
15. Governing Terms
These Terms represent the entire agreement between you and Morivant regarding your use of the Platform and supersede all prior agreements or understandings on the same subject. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right.
